1) Acceptance of Terms

By accessing or using the Site, you agree to these Terms & Conditions, "Terms", and our Privacy Policy. If you do not agree, do not use the Site. We may modify these Terms at any time, the "Last Updated" date indicates the latest version.

2) Who We Are

The Site is operated by Alex Chiniborch and affiliated companies, collectively "Alex", "we", "us", "our".

3) Eligibility & Territory

You must be at least 18 and have legal capacity to use the Site. You are responsible for compliance with all laws applicable in your jurisdiction.

4) No Financial, Legal, or Tax Advice

All content is for general informational and educational purposes only. Nothing on the Site constitutes financial, investment, legal, tax, accounting, or other professional advice, nor a solicitation, offer, or recommendation to buy or sell any asset or to enter any transaction. You should obtain advice from qualified independent professionals before acting.

5) No Client Relationship, Engagements

Viewing the Site or communicating with us through general contact forms does not create a client, advisory, fiduciary, or other professional relationship. Any services are governed by separate written agreements signed by the parties.

6) Intellectual Property

All content on the Site, text, graphics, logos, photos, videos, designs, compilations, and software, is owned by us or our licensors and protected by UAE and international IP laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site for personal, non-commercial use. You may not copy, reproduce, distribute, modify, create derivative works, mirror, frame, scrape, or mine the Site or its content without our prior written consent.

7) User Content & Feedback

If you submit content, comments, testimonials, questions, ideas, feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, reproduce, display, distribute, and create derivative works from such content in any media for legitimate business purposes, with or without attribution, subject to our Privacy Policy. You represent that you own or have necessary rights to submit such content and that it is accurate, lawful, and non-infringing.

8) Prohibited Uses

You agree not to:

• Violate any law, regulation, or third-party rights.
• Use the Site for unlawful, deceptive, or fraudulent purposes.
• Introduce malware, attempt to gain unauthorized access, test vulnerabilities, or interfere with security.

13) Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, loss of profits, revenue, savings, data, goodwill, business interruption, or claims by third parties, arising from or related to your use of, or inability to use, the Site or content, even if advised of the possibility of such damages.

Our aggregate liability to you for any claim shall not exceed USD 100, or the equivalent in AED, unless otherwise required by mandatory law or a separate written contract.

14) Indemnity

You agree to defend, indemnify, and hold harmless Alex and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to your use of the Site, your content, or your violation of these Terms or applicable law.

15) Compliance & Sanctions

You represent that you are not subject to UAE, UN, US, UK, or EU sanctions and will not use the Site in violation of applicable sanctions, anti-money laundering, AML, counter-terrorist financing, CTF, or export control laws.

16) Privacy

Use of the Site is governed by our Privacy Policy, which is incorporated by reference into these Terms.

17) Governing Law & Dispute Resolution, UAE

These Terms and any dispute or claim, contractual or non-contractual, shall be governed by the laws of the United Arab Emirates.

18) Termination

We may suspend or terminate your access to the Site at any time, without notice, for any reason, including suspected violations of these Terms. Upon termination, provisions that by their nature should survive, IP, disclaimers, limitation of liability, indemnity, governing law, dispute resolution, shall survive.

19) Force Majeure

We will not be liable for delay or failure caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or governmental actions.

20) Assignment

We may assign or transfer our rights and obligations under these Terms without notice. You may not assign these Terms without our prior written consent.

21) Severability, No Waiver

If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right.

22) Entire Agreement, Language

These Terms, plus the Privacy Policy and any referenced documents, are the entire agreement between you and us regarding the Site and supersede all prior or contemporaneous communications. The English version controls.
